"Client" refers to individuals or entities using the Site or services. "Services" includes all professional and technical services offered. "Content" includes text, graphics, software, and data on the Site. "Deliverables" are specific work products produced under a service agreement.
We grant a limited, non-exclusive license to access the Site for lawful purposes. Prohibited conduct includes unlawful use, unauthorized access, interference, malware distribution, scraping, and impersonation.
All Site content is the property of Rotunda Scientific Technologies LLC and protected by intellectual property laws. The name and related marks are trademarks of the Company. Clients receive ownership of Deliverables upon full payment.
Clients must provide accurate information, cooperate with our team, review deliverables, maintain confidentiality, and pay fees per the agreed schedule.
Fees are outlined in service agreements. Late payments may incur interest. Services may be suspended for accounts past due.
Both parties must maintain confidentiality of proprietary information disclosed during the engagement. This obligation survives termination for three years.
Total liability shall not exceed the amount paid for the specific Service during the preceding twelve months. The Company is not liable for indirect or consequential damages.
Services are provided "AS IS" without warranties of any kind, express or implied.
Clients agree to indemnify the Company from claims arising from their use of the Site or violation of these Terms.
Either party may terminate agreements per their terms. Access may be suspended for Terms violations.
These Terms are governed by Ohio law. Disputes shall be resolved through binding arbitration in Richland County, Ohio.
Neither party is liable for delays beyond reasonable control.
Invalid provisions shall be modified to be enforceable while preserving intent.
These Terms constitute the entire agreement between you and the Company regarding the Site and Services.
We may modify these Terms. Continued use after changes constitutes acceptance.
